Terms of Service

This summary is provided for transparency and is not legal advice; it is being finalized with counsel. The binding contract is the Merchant Platform Agreement.

1. Acceptance

By creating a Merit account or using the service, you agree to these Terms and to the full Merchant Platform Agreement, which is the binding contract between you and Merit. This page is a plain-language summary for convenience; where it differs from the Merchant Platform Agreement, that agreement controls.

2. The service

Merit provides compliance monitoring, a buyer research-use attestation gate with acceptance logging, and payments enablement for research-use-only WooCommerce stores. We scan your store, return a live compliance score and findings, monitor it on an ongoing basis, and once your score reaches the unlock threshold, help you turn on card processing routed through your own connected account.

3. Accounts and eligibility

You must provide accurate information, keep your credentials secure, and be authorized to act for the store you connect. You are responsible for activity under your account.

4. Fees

Pricing is straightforward:

  • Scanning, plugin install, and setup are free.
  • Compliance monitoring is $199/mo, with the first 30 days free. You can cancel anytime.
  • Card processing, once you are live, is 7% + 30¢ per transaction on what you process, settled to your own account.
  • Optional done-for-you cleanup is available as a flat quote after your first scan; you can also clear findings yourself for free.

5. Your responsibilities

Merit is a tool, not a guarantee. You remain responsible for your store's compliance, your product claims, your customer relationships, and your own legal and regulatory obligations. You agree to keep the research-use gate enabled at checkout and to act on findings within the grace window so processing stays on.

6. Payments

Card processing runs through Stripe Connect on a connected account in your name. You are the merchant of record for your sales, you keep your funds, and Merit never holds your money. Stripe's terms also apply to payment processing.

7. No guarantee and no legal advice

Merit reports factual status against current FDA, FTC, and card-network research-use-only rules. It does not provide legal advice and does not guarantee regulatory approval, payment-processor approval, or that any store is compliant. Responsibility for compliance remains with the store operator.

8. The binding agreement

The complete terms, including service commitments, compliance covenants, the kill-switch and monitoring consent, indemnification, and the personal guaranty executed during onboarding, are set out in the Merchant Platform Agreement. Please read it in full before you sign up.

9. Limitation of liability

To the maximum extent permitted by law, and as detailed in the Merchant Platform Agreement, Merit's liability is limited and certain damages are excluded. See the Merchant Platform Agreement for the controlling terms.

10. Termination

You can cancel your subscription at any time. We may suspend or terminate access as described in the Merchant Platform Agreement, including the controlled auto-pause that protects processing when compliance slips.

11. Changes

We may update these Terms and the Merchant Platform Agreement as the product evolves. Material changes will be reflected by an updated date and, where appropriate, notice to you.
